Terms and Conditions of the E-goi Sales Partner Programme

How the E-goi Sales Partner Programme works

1) The Sales Partner refers and promotes E-goi to their own clients.
2) When manually creating an E-goi account for a client to use, the Sales Partner should include their unique Sales Partner code so that the client's E-goi account will be associated to the Sales Partner's E-goi account.
3) If the client signs up for a paid e-mail plan or buys pay-as-you-go messages, the Sales Partner will receive a commission on their own account.

Sales Partner requirements

The Sales Partner should promote the E-goi platform to their clients (using materials provided by E-goi), take part in training sessions held by E-goi and meet the goals set by E-goi. The Partner should make sure to always enter their unique Sales Partner when creating an account for a client.

The minimum annual goals that the Partner should meet depend on the Partner's assigned level.

Level 1:
- 5 new leads per year
- 1 new paid clients per year

Level 2:
- 10 new leads per year
- 2 new paid clients per year
- Total sales above 1500€

Level 3:
- 15 new leads per year
- 5 new paid clients per year
- Total sales above 3000€
- 2 partners of the Partner themselves

If the Parnet meets none of these goals and requirements, its assigned level will be 0.

Despite the above goals, no relationship of employer and employee between E-goi and the Sales Partner is created by this Sales Partner Programme.

E-goi requirements

E-goi should make sure that all Sales Partner Programme services are provided and correctly configured (including website access, account registration, technical support and payment processing) and that commissions are being correctly associated to the Sales Partner's E-goi account through their unique code.

Commissions and benefits

1) E-goi will pay the Sales Partner a commission on each E-goi account sale (e-mail plan or pay-as-you-go) originated by a client account associated to their Sales Partner's unique code.
2) If the client signs up for a paid E-goi e-mail plan, the Sales Partner will receive a commission on the plan's installment. The commission is based on the Partner's assigned level. Whenever the client renews their e-mail plan, the Sales Partner will again receive the same commission on that installment.
3) If the client buys E-goi pay-as-you-go messages, the Sales Partner will receive a commission on the messages purchased. The commission is based on the Partner's assigned level. Whenever the client buys another message batch, the Sales Partner will again receive the same commission on the new messages.
4) All commissions will be added to the Sales Partner's E-goi account, which the Sales Partner can either use for E-goi services in their own account (eg. sending campaigns) or withdraw as cash.
5) The Sales Partner can use the Sales Partner section in their E-goi account to monitor account registrations and conversions. This information is provided by E-goi and overrides any other information gathered by the Sales Partner.
6) If a client associated to the Sales Partner signs up for a paid e-mail plan or buys pay-as-you-go messages but cancels or fails to make their payment, any outstanding commissions to the Sales Partner will be cancelled.
7) The Partner level which E-goi assigns to the Sales Partner is fully performance-dependent. If the Sales Partner exceeds their assigned level's goals, the Partner will be automatically upgraded (on a monthly basis) to the next level. Downgrades are manual and depend on an annual performance review by E-goi.

In addition to commissions, E-goi will provide the Sales Partner with a number of benefits depending on the Partner's level:

Level 0 (Partners who fail to meet any of the goals set for the remaining Partner levels):
- 10% commission on each email plan sale and 5% commission on each pay-as-you-go message sale

Level 1:
- 20% commission on each email plan sale and 7,5% commission on each pay-as-you-go message sale
- Account manager
- Digital promo materials

Level 2
- 30% commission on each email plan sale and 10% commission on each pay-as-you-go message sale
- Account manager
- Certification exam (beginner)
- E-goi Partner Badge
- Digital promo materials
- Brand awareness (as E-goi Partner) in select E-goi communications
- E-goi discount vouchers
- E-goi support on pitches and training given by the Partner to the Partner's clients

Level 3:
- 30% commission on each email plan sale and 10% commission on each pay-as-you-go message sale
- Account manager
- Certification exam (advanced)
- Ability to represent E-goi at events and tradeshows
- Hard-copy promo materials
- E-goi Premium Partner Badge
- Mention in E-goi's website

Payment

1) Sales Partner commissions shall be paid by E-goi for all confirmed sales in the Partner's E-goi dashboard.
2) Commissions for monthly plan sign-ups or pay-as-you-go purchases will be added only after the sale has been completed and invoiced. All commissions are added to the Partner's account balance in E-goi.
3) The Sales Partner can withdraw all or part of their commission balance by using their partner dashboard to submit a legally valid document stating the amount due. A minimum of 50 euros in commissions must be available in the Partner's E-goi account in order for the money to be cashed. Commissions can only be cashed once per month. Any bank fees or transaction costs relating to this payment will be incurred by the Sales Partner.
4) In order to withdraw commissions, the Sales Partner must issue E-goi with an invoice or send E-goi a payment receipt for the amount due.
5) If the above documents are not provided by the Sales Partner to E-goi or are not in compliance with the required format, commission payments for that month will be be withheld. The Sales Partner will only be allowed to request a new withdrawal in the next month.
6) How commissions are paid to the Sales Partner depends on the Partner's designated country:
European Union: PayPal and Bank Transfer
Brazil: PayPal and Bank Transfer (except for Savings Accounts)
Rest of the world: PayPal 7) Commissions should be withdrawn until 23:59 WEST of the last day of the month. E-goi shall process the corresponding payment until the 10th of the following month, unless it falls on a Saturday, Sunday or Portuguese bank holiday, in which case payment shall be processed within the next business day.

Termination

E-goi reserves the right to terminate this agreement if the Sales Partner:
a) violates the E-goi Terms of Use, which the Sales Partner acknowledges to have read and agreed with when signin up for their E-goi account.
b) uses E-goi contents and materials which are not accepted by the E-goi Sales Partner Programme.
c) misrepresents the E-goi products and services or uses names, brands, images, texts and webpages without prior express permission by E-goi.
d) promotes E-goi under any circumstance which promotes violence, copyright infringement and discrimination based on race, sex, religion, national origin and physical disability.
e) tries to breach or exploit the E-goi Sales Partner Programme in any way or form in order to illegally earn E-goi commissions.
f) fails to meet the goals set by E-goi for the Sales Partner's level.
f) has been enrolled in the Programme for over one year without bringing any new clients in the last 12 months (this review is performed monthly).

Any of the above actions will result in immediate termination of the Sales Partner's account with a cancellation of any pending commissions. The Sales Partner will also be in violation of the E-goi Sales Partner Programme and subject to legal action.

Terms of Agreement

These terms and conditions shall commence on the date the Sales Partner is granted access by E-goi to the «Sales Partners» section in their account. This agreement remains in affect until cancelled by either party at any time with immediate effect.

Notices

Any notice or other communication required or permitted to be provided under this Agreement shall be given in writing and sent via registered mail, sent via facsimile or sent via electronic mail, and shall be deemed effective upon receipt.

2 E-goi will regularly send notifications to the Sales Partner as per our Privacy and Anti-Spam Policy.

Governing law

This agreement shall be governed by the laws of Portugal and the courts of Matosinhos.
